Article VI: Executive Board

6.01 The Executive Board shall consist of the elected officers of the Club, the immediate Past President, and the chairpersons of any standing committees. All shall be voting members. For purposes of this article, if the immediate Past President is unable or chooses not to serve, the seat on the Executive Board will remain vacant.

6.02 The President shall preside at all Executive Board meetings pursuant to Section 4.05. The ranking Club officer shall preside in the absence of the President. If the Secretary is absent, the presiding officer shall appoint a replacement for that meeting

6.03 The Executive Board shall have general supervision of the affairs of the Club between Club meetings, shall develop the agenda for Club meetings, shall make recommendations to the Club, shall maintain an individual communication system, and shall perform such other duties as may be specified by the bylaws or directed by the Club. The Executive Board shall be subject to the direction of the Club, and none of its acts shall conflict with actions taken by the Club.

6.04 Meetings of the Executive Board shall be held as needed. At least one meeting shall be held prior to each regular meeting of the Club for the purpose of developing the upcoming agenda.

6.05 Meetings shall be held subject to the call of the President or upon the request of two Executive Board members, provided that at least 48-hour notice is given to all members of the club, and further provided that the Executive Board may adopt a schedule of regular Executive Board meetings.

6.06 Emergency meetings of the Executive Board may be called by the President or by any two Executive Board members, provided at least forty-eight (48) hours’ notice is given to all Executive Board members, and the Chair of the Yolo County Democratic Central Committee further provided that the business of the meeting shall be restricted to those matters announced in the meeting notice.

6.07 At all Executive Board meetings, a quorum shall consist of a majority of the voting membership of the Executive Board, provided that a meeting of all incumbent officers shall suffice if vacancies would otherwise prevent the formation of a quorum.

6.08 All Executive Board meetings shall be open to members, and all minutes of Executive Board meetings shall be provided to Club members.
