Article IV: Officers

4.01 The Club shall have at least four officers. The officers, in order of precedence, are President, Vice President, Treasurer, and Secretary.


4.02 Officers shall have been members of this Club for at least one year prior to election, unless the Club waives the  requirement by a two-thirds vote of those in attendance at a properly noticed meeting.

4.03 Each officer shall serve for a term of one year, commencing after the Club’s vote at the Annual Meeting in February, or until a successor is elected. Officers shall serve without compensation.

4.04 Process for election of officers shall be presented at the January meeting. The Annual Meeting in February members shall vote. A simple majority of votes cast  is necessary for election. The current President shall remain impartial, but in the event of a tie, will cast the winning vote.

4.05 The President shall chair all meetings of the Club and the Executive Board, presiding in a fair and impartial manner; shall represent the Club at all appropriate civic and community functions; shall serve as the Club’s spokesperson; and shall represent the Club at meetings of the Yolo County Democratic Central Committee and may designate an alternate to represent the Club.


4.06 The Vice President shall assist the President in the performance of their duties; shall preside over meetings of the Club and Executive Board in the absence of the President; shall perform such other duties as the President or the Club shall assign; and shall succeed to the Presidency on the death, resignation, or removal of the President.

4.07 The Treasurer shall be the chief financial officer of the Club and shall be responsible for all monies and financial records of the Club; shall maintain all state-and federally-mandated financial and campaign finance records and file written reports to the members in a timely fashion; shall dispense funds only with the approval of the Club or in accordance with adopted Club policy; and shall report regularly to the Club on their activities.

4.08 The Secretary shall post notices of all meetings as required in section 5.01, record all minutes of Club and Executive Board meetings, and make copies of the same available to members; shall be responsible for all official Club correspondence; shall be custodian for the charter, bylaws, standing rules, and other legal records of the Club, including membership records; shall maintain the Club archives; and such other duties as may be assigned by the President or the Club.


4.09 A vacancy shall exist in any office if the incumbent officer dies, resigns, misses three consecutive Club meetings, is removed by the membership, or voluntarily steps away from role. Vacancies in any office, except for President, shall be filled by the Club through a special election. The person filling the vacancy shall only complete the original term of the officer creating the vacancy.


4.10 If the Presidency should become vacant, the Vice President shall immediately succeed to the Presidency, and an election shall be held to fill the Vice Presidency at the next regular meeting by a vote of the members.


4.11 An officer may be removed from office due to nonperformance of their duties, which includes repeated absences.

4.12 An officer may be removed by a two-thirds vote at any properly noticed regular Club meeting, provided five or more members have petitioned for the officer’s removal and such petitions are included in the meeting notice.


4.13 Elected officials may not serve as President.


4.14 Officers shall resign from their position prior to seeking elected office as a candidate. Seeking office shall include making an official announcement of candidacy, establishing a political action committee, and/or pulling candidacy documents.
